Let us understand how a mutual fund is organised in a particular structure
The following entities are involved in a typical Mutual fund:
1) Sponsor
The sponsor is the person who either alone or in association with another corporate body, start a mutual fund. The sponsor must contribute minimum of 40% of the net worth of the investment managed to meet the eligibility criteria regulated under the Securities and Exchange Board of India (Mutual Funds) Regulations, 1996. The sponsor will not be responsible or liable for any loss incurred or any shortfall resulting from the operation of the schemes beyond the initial contribution invested by him towards setting up of the mutual fund
2) Trust
The mutual fund is established as a trust in accordance with the provisions of the Indian Trusts Act, 1882 by the sponsor. The trust deed is registered under the Indian Registration Act, 1908.
3) Trustee
A trustee is usually a company or a Board of Trustees (body of individuals). The main responsibility of the trustee is to safeguard the interest of the unitholders and ensure that the AMC functions in the interest of investors and in compliance with the regulations of the Securities and Exchange Board of India (Mutual Funds) Regulations,1996, and the provisions of the trust deed and the offer documents of the respective schemes. At least 2/3rd of the directors of the Trustee are independent directors who are not associated with the sponsor in any way.
4) Asset Management Company (AMC)
The trustee, as the investment manager of the mutual fund, appoints the AMC. The AMC is required to be approved by the Securities and Exchange Board of India (SEBI) to act as an asset management company of the Mutual fund. At least 50% of the directors of the AMC are independent directors who are not associated with the sponsor in any way. The condition is kept for AMC that it must have a minimum net worth of Rs.10 crores at all times.
- AMC is answerable to the trustees and they have to submit a quarterly report on the activities performed by the AMC.
- AMC cannot undertake any activities which are conflicting with the management of the mutual fund.
- They have to make relevant disclosures to investors in working of AMC operations like calculating NAV, portfolio details sending half yearly accounts to the investors,etc.
- They also have to file the details of transactions done for greater than 1 lac by the AMC Directors on a quarterly basis with the trustees
5) Custodians
It is a trust company, bank or similar financial institution, which is registered with SEBI and will be responsible for holding and safeguarding the securities owned by a mutual fund. A mutual fund’s custodian may also act as its transfer agent.
6) Registrar and Transfer Agent (R & T Agents)
7) BankersThe AMC, which is authorized by a trust deed, appoints the registrar and transfer agent to the mutual fund. The registrar and transfer agent processes the application form, redemption requests and then dispatches account statements of the transactions to the unit holders. The registrar and transfer agent also takes care of the correspondences with the investors regarding the updates and queries of the investors. At present there are 2 major R&T agents; 1) CAMS, 2) KARVY who are registered under the mutual fund space.
The Mutual Fund appoints bankers to hold bank accounts and provides the remittance of the redemption proceeds and for purchase of the mutual fund units by the investors by cheques or fund tranfers.8) Distributors
AMC appoints the distributors to sell units of the mutual fund. This enables the mutual funds to reach to every segment of people which are the retail investors.The distributors have a registration number of the Association of the Mutual Funds (AMFI), which enables them to sell mutual funds and can associate with several mutual funds.
Regulators for the Mutual Funds
Let's understand the major regulatory authorities of the mutual funds
- SEBI: Securities and Exchange Board of India was combined to form by an act of Parliament in 1992.It is the supreme regulator of the capital markets in India. Since the mutual funds invest in capital markets, it comes under SEBI.
- RBI: The Reserve Bank Of India is the central banking body which regulates the banking system and the money market, since mutual fund also invests in money markets, thus indirectly fall under RBI's regulations
- Ministry of Finance: It is the ultimate policy-making and supervising entity over RBI and SEBI.
- AMFI: It was incorporated in 1995, with the objective of representing the mutual fund industry.
- To promote the interest of mutual funds and thier unitholders and to interact with SEBI;
- To undertake the Investors Awareness program;
- To register and develop distributors and implement a program of training and certification.
आइए हम समझते हैं कि एक विशेष संरचना में म्यूचुअल फंड कैसे व्यवस्थित होता है।
निम्नलिखित एंटिटी एक विशिष्ट म्यूचुअल फंड में शामिल होते हैं:
१ ) प्रायोजक
प्रायोजक, वह व्यक्ति होता है जो अकेले या किसी अन्य कॉर्पोरेट निकाय के साथ मिलकर म्यूचुअल फंड शुरू करता है। प्रायोजक को भारतीय प्रतिभूति और विनिमय बोर्ड (म्यूचुअल फंड्स) विनियम, 1996 के तहत विनियमित पात्रता मानदंडों को पूरा करने के लिए प्रबंधित निवेश के निवल मूल्य का न्यूनतम 40% योगदान करना चाहिए। प्रायोजक किसी भी नुकसान के लिए जिम्मेदार या उत्तरदायी नहीं होता है । या म्यूचुअल फंड की स्थापना के लिए उसके द्वारा निवेशित प्रारंभिक योगदान से परे योजनाओं के संचालन के परिणामस्वरूप अगर कोई कमी होती है तो।
२) ट्रस्ट
म्यूचुअल फंड एक ट्रस्ट के रूप में भारतीय ट्रस्ट अधिनियम, 1882 के प्रावधानों के अनुसार प्रायोजक द्वारा स्थापित किया जाता है। ट्रस्ट डीड भारतीय पंजीकरण अधिनियम, 1908 के तहत पंजीकृत होते है।
3) ट्रस्टी
एक ट्रस्टी आमतौर पर एक कंपनी या बोर्ड ऑफ ट्रस्टी (व्यक्तियों का निकाय) होता है। ट्रस्टी की मुख्य जिम्मेदारी निवेशकों के हितों की रक्षा करना और यह सुनिश्चित करना है कि A.M.C (एसेट मैनेजमेंट कंपनी ) निवेशकों के हित में और भारतीय प्रतिभूति और विनिमय बोर्ड (म्यूचुअल फंड्स) विनियम, 1996 और प्रावधानों के नियमों के अनुपालन में कार्य करता है। विश्वास विलेख और संबंधित योजनाओं के दस्तावेजों की पेशकश। ट्रस्टी के निदेशकों में से कम से कम 2 / 3rd स्वतंत्र निदेशक होते हैं जो किसी भी तरह से प्रायोजक के साथ जुड़े नहीं होने चाहिए।
४ ) एसेट मैनेजमेंट कंपनी (AMC)
ट्रस्टी, म्यूचुअल फंड के निवेश प्रबंधक के रूप में, एएमसी को नियुक्त करता है। एएमसी को सिक्योरिटीज एंड एक्सचेंज बोर्ड ऑफ इंडिया (सेबी) द्वारा म्यूचुअल फंड की संपत्ति प्रबंधन कंपनी के रूप में कार्य करने के लिए अनुमोदित किया जाना आवश्यक है। एएमसी के कम से कम 50% निदेशक स्वतंत्र निदेशक हैं जो किसी भी तरह से प्रायोजक के साथ जुड़े नहीं होने चाहिए । एएमसी के लिए यह शर्त रखी गई होती है कि उसके पास हर समय न्यूनतम रु 10 करोड़ होने चाहिए।
- एएमसी ट्रस्टियों के लिए जवाबदेह है और उन्हें एएमसी द्वारा की गई गतिविधियों पर एक त्रैमासिक रिपोर्ट प्रस्तुत करनी पड़ती है।
- एएमसी किसी भी गतिविधियों को नहीं कर सकती है जो म्यूचुअल फंड के प्रबंधन के साथ विरोध कर रहे हैं।
- उन्हें संचालन के काम में निवेशकों को प्रासंगिक खुलासे करने पड़ते हैं ,जैसे NAV की गणना, पोर्टफोलियो विवरण निवेशकों को छमाही विवरण भेजने आदि।
- उन्हें ट्रस्टियों के साथ तिमाही आधार पर एएमसी निदेशकों द्वारा 1 लाख से अधिक के लिए किए गए लेनदेन का विवरण भी दर्ज करना पड़ता है।
५ ) कस्टोडियन
यह एक ट्रस्ट कंपनी, या बैंक या इसी तरह की वित्तीय संस्था है, जो सेबी के पास पंजीकृत होती है और म्यूचुअल फंड के स्वामित्व वाली प्रतिभूतियों को रखने और उनकी सुरक्षा के लिए जिम्मेदार होती है । म्यूचुअल फंड का कस्टोडियन इसके ट्रांसफर एजेंट के रूप में भी काम कर सकता है।
६ ) रजिस्ट्रार और ट्रांसफर एजेंट
७ ) बैंकर्सएएमसी, जो एक ट्रस्ट डीड द्वारा अधिकृत है, रजिस्ट्रार और ट्रांसफर एजेंट को म्यूचुअल फंड में नियुक्त करता है। रजिस्ट्रार और ट्रांसफर एजेंट आवेदन फॉर्म, मोचन अनुरोधों को संसाधित करता है। और फिर यूनिट धारकों को लेनदेन के खाते के विवरण भेजता है। रजिस्ट्रार और ट्रांसफर एजेंट निवेशकों के अपडेट और प्रश्नों के बारे में निवेशकों के साथ पत्राचार का भी ध्यान रखना आवश्यक होता हैं। वर्तमान में 2 प्रमुख आर एंड टी एजेंट हैं; 1) सीएएमएस, 2) करवाई जो म्यूचुअल फंड स्पेस के तहत पंजीकृत हैं।वर्तमान में 2 प्रमुख आर एंड टी एजेंट हैं; 1) सीएएमएस, 2) करवाई जो म्यूचुअल फंड स्पेस के तहत पंजीकृत हैं।वर्तमान में 2 प्रमुख आर एंड टी एजेंट हैं; 1) CAMS, 2) KARVY जो म्यूचुअल फंड स्पेस के तहत पंजीकृत हैं।
म्यूचुअल फंड बैंकरों को बैंक खाते रखने के लिए नियुक्त करता है ,और चेक या फंड ट्रान्सफर द्वारा निवेशकों द्वारा म्यूचुअल फंड इकाइयों की खरीद या बिक्री के लिए प्रमाणित होते है।८ ) वितरक
म्यूचुअल फंड्स के मुख्य रेगुलेटर
एएमसी , वितरकों को म्यूचुअल फंड की इकाइयों को बेचने के लिए नियुक्त करता है। यह म्यूचुअल फंड को उन लोगों के हर वर्ग तक पहुंचने में सक्षम बनाता है, जो रिटेल वर्ग का निवेशक होता हैं। वितरकों के पास एसोसिएशन ऑफ म्युचुअल फंड (AMFI) का पंजीकरण नंबर होता है, जो उन्हें म्यूचुअल फंड बेचने में सक्षम बनाता है और कई म्यूचुअल फंडों के साथ उनको जुड़ सकता है।
आइए म्यूचुअल फंड के प्रमुख नियामक अधिकारियों को समझते हैं।
१ ) सेबी: भारतीय प्रतिभूति और विनिमय बोर्ड को 1992 में संसद के एक अधिनियम द्वारा गठित किया गया था। यह भारत में पूंजी बाजार का सर्वोच्च नियामक है। चूंकि म्यूचुअल फंड पूंजी बाजारों में निवेश करते हैं, इसलिए यह सेबी के अधीन आता है।
२ ) RBI: भारतीय रिजर्व बैंक केंद्रीय बैंकिंग निकाय है जो बैंकिंग प्रणाली और मुद्रा बाजार को नियंत्रित करता है, क्योंकि म्यूचुअल फंड भी मनी मार्केट में निवेश करता है, इस प्रकार अप्रत्यक्ष रूप से RBI के नियमों के अंतर्गत आता है।
३ ) वित्त मंत्रालय: यह आरबीआई और सेबी के ऊपर अंतिम नीति बनाने और पर्यवेक्षण इकाई है।
४ ) AMFI: इसे 1995 में म्यूचुअल फंड उद्योग का प्रतिनिधित्व करने के उद्देश्य से शामिल किया गया था।
- म्यूचुअल फंड और उनके निवेशकों के हित को बढ़ावा देने और सेबी के साथ बातचीत करने के लिए;
- निवेशक जागरूकता कार्यक्रम शुरू करने के लिए;
- वितरकों को पंजीकृत करने और विकसित करने और प्रशिक्षण और प्रमाणन के एक कार्यक्रम को लागू करने के लिए।
